Guidelines and appropriate conduct
Please read the following section carefully, as it governs your conduct while using the womenhealthdirect (WHD) Service, and by using the Service, you agree to be bound by these terms.
A. Appropriate Conduct.
You agree that you are responsible for your own conduct and communications while using the Service and for any consequences thereof. You agree to use the Service only to send and receive messages and material that are legal and proper. By way of example, and not as a limitation, you agree that when using the Service, you will not:
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
Engage in personal attacks of any kind against any member of the WHD community;
Post any inappropriate,defamatory, infringing, obscene, libelous, or unlawful Content;
Post any Content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party (the "Rights"), unless you are the owner of the Rights or have the written permission of the owner to post such Content;
Post pornography or sexually explicit images or written content;
Post messages that promote pyramid schemes, chain letters or disruptive commercial messages or advertisements, junk mail, spam, or any other form of solicitation;
Engage in fraudulent or inappropriate behavior of any kind in an attempt to obtain WHD Marketplace Dollars;
Download any file posted by another user that you know, or reasonably should know cannot be legally distributed in such manner;
Impersonate another person or entity, or falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is posted;
Use or create inappropriate usernames or group names;
Restrict or inhibit any other user from using and enjoying the Service;
Use the Service for any illegal or unauthorised purpose including but not limited to distributing spam;
Remove any copyright, trademark or other proprietary rights notices contained in or on the Service;
Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Service or collect information about users for any unauthorised purpose; Submit Content that falsely expresses or implies that such Content is sponsored or endorsed by WHD;
Create Member accounts (see Section D below) by automated means or under false or fraudulent pretenses;
Promote or provide instructional information about illegal activities or promote physical harm or injury against any group or individual;
Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature; or engage in "ad slamming" of any nature, including the repeated clicking on advertisements to increase potential earnings to you, to increase potential costs to an advertiser, or for any reason other than viewing an advertisements as a potential consumer.
While WHD prohibits the conduct and Content described above in connection with the Service, you understand and agree that you nonetheless may be exposed to such conduct and/or Content and that you use the Service at your own risk.
B. Member Disputes.
You are solely responsible for your interactions with other WHD users. As a Member (as defined in Section D), you are expected to tolerate viewpoints and perspectives with which you may not agree. WHD is not obligated to arbitrate, or resolve in any manner, disputes that arise between Members. WHD reserves the right but has no obligation, to monitor disputes between you and other Members, and to take any action, in WHD's sole discretion, that may be appropriate under the circumstances. Such actions may include, but are not limited to the suspension or termination of memberships and the removal of inappropriate content.
C. Reporting Objectionable Behavior.
If you encounter behavior that you think violates the Guidelines, you can report the incident to WHD by sending us a message at support at womenhealthdirect.org. Please state the reasons for your concern and provide a link to the behavior in question.
If the behavior is determined to be inappropriate, then its associated Content is removed from the Service and the author is notified. All such determinations may be made at WHD's sole discretion. WHD may allow the author to modify or change their behavior so that it is compliant with the Guidelines, and, assuming that it is, it may be subsequently released on the Service. WHD reserves the right to terminate a Member's (as defined in section D) account at any time WHD determine that to be an appropriate response to the behavior in question.
D. Registration and membership
In order to use certain aspects of the Service, you are required to register and establish an online account with WHD. WHD refer to registered users as members ("Members") and subject Members to the following specific terms:
In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United Kingdom or other applicable jurisdiction. You also agree to: (i) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (ii) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or WHD has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, WHD has the right to suspend or terminate your account and refuse your current or future use of the Service (or any portion thereof).
You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account. You agree to (i) immediately notify WHD of any unauthorised use of your password or account or any other breach of security, and (ii) ensure that you exit from your account at the end of each session. WHD cannot and will not be liable for any loss or damage arising from your failure to comply with this Section D. You agree that your WHD Member account is non-transferable and any rights to your WHD password, username or account information or Content within your Member account terminate upon your death. Upon receipt of a copy of a death certificate, your Member account may be terminated and all Content therein permanently deleted.
WHD Marketplace Dollars. Users may be eligible to receive WHD Marketplace Dollars directly from WHD for participation in / winning of contests over time and/or from certain advertisers. WHD Marketplace Dollars may be redeemed by registered users ("Members") to purchase products and services from the WHD Marketplace. WHD reserves the right, at its sole discretion, to delete Marketplace Dollars from a user's account if WHD determines that any WHD Marketplace Dollars have been awarded inappropriately or if a user violates these guidelines or any other WHD policy or agreement.
You agree that WHD may, under certain circumstances and without prior notice, immediately terminate your WHD account, any associated email address, any associated username, and/or access to the Service. Cause for such termination shall include, but not be limited to, (i) breaches or violations of the guidelines or other incorporated agreements, policies or rules, (ii) requests by law enforcement or other government agencies, (iii) unexpected technical or security issues or problems, (iv) extended periods of inactivity, (v) your engagement in fraudulent or illegal activities, and/or (vi) nonpayment of any fees owed by you in connection with the Service.
Termination of your WHD account includes removal of access to all offerings within the Service, including but not limited to the WHD Groups; deletion of your password, username and all related information, files and Content associated with or inside your account (or any part thereof); and barring further use of the Service. Further, you agree that all terminations shall be made in WHD's sole discretion and that WHD shall not be liable to you or any third-party for any termination of your account, any associated email address, username or access to the Service.
If you are under age 18, you may only make purchases from the WHD Marketplace with the involvement of a parent or guardian. WHD and its affiliates reserve the right to refuse service, terminate accounts, remove or edit Content, or cancel orders in their sole discretion.
E. Indemnity
You agree to indemnify and hold WHD, and its subsidiaries, affiliates, officers, directors, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the disclaimer, or your violation of any rights of another.
F. No resale of service
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service (including your WHD username) or Content that you do not own, use of the Service or Content you do not own, or access to the Service or Content you do not own, without the express written consent of WHD.
G. General practices regarding use and storage
You acknowledge that WHD may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that email messages and uploaded Content will be retained by the Service, the maximum number of email messages that may be sent from or received by an account on the Service, the maximum size of any email message that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on WHD's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that WHD has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Service. You acknowledge that WHD reserves the right to log off accounts and deactivate usernames that are inactive for an extended period of time. You further acknowledge that WHD reserves the right to modify these general practices and limits from time to time.
